Cryo-Cell adopts poison pill stockholder rights
The board of directors of Oldsmar-based Cryo-Cell International Inc. has unanimously adopted a three-year stockholder rights plan to protect control of the company from a hostile takeover.
The company is offering a dividend of the right to buy a preferred share for each outstanding share of the company's common stock. Under the plan, stockholders of record at the close of business on Dec. 5 receive the right for each share of Cryo-Cell common stock held. The offer will expire Dec. 5, 2017.
Those rights can only be exercised if a person or group acquires 20% or more of Cryo-Cell's common stock or if a stockholder already owning more 20% or more increases its holdings to 22.5% or more. This person or group would not have access to the preferred shares.
The plan also offers the board of directors time, once the share percentage owned limit is breached, to negotiate with the person or group that acquired the large number of shares.
