As Seen On TV infuses new firm

CLEARWATER — As Seen On TV Inc. completed its purchase of Infusion Brands Inc., a Clearwater consumer products company behind the well-known Dual Tool and Ronco brands.

As Seen On TV issued 452.96 million shares of its common stock to Infusion Brands International Inc., parent of Infusion Brands, as part of the all-stock transaction. The combined company, based in Clearwater, owns a portfolio of consumer brands that includes “Set It and Forget It,” Ronco, Dual Saw, Dual Tools, DOC Cleaning and the websites AsSeenOnTV.com and eDiets.com.

“With this merger, along with our recent capital raise, the combined companies will compete in three key verticals with well-established household name brands: hardware, home goods, and health and wellness,” Bob DeCecco, former CEO of Infusion Brands International and new chairman and CEO of As Seen On TV says in a press release.

DeCecco also says the merger gives the combined company needed diversification for its future sustainability.
