Corporate ReportEquity firm seeks to invest in Freedom BankCommunity Bank Investors of America LP has filed applications with the Florida Office of Financial Regulation and the Federal Deposit Insurance Corp. for regulatory approval to invest $5 million and acquire an interest in beleaguered Bradenton-based Freedom Bank. As Coffee Talk reported last month, the Richmond, Va.-based community bank-focused private equity firm plans to give the bank some much needed cash in exchange for five million shares of common stock and two seats on the bank's board of directors, to be filled by Laurence C. Fentriss and Timothy A. Anonick, both CBIA principals.The transaction is expected to close later this year.In 2006 Community Bank Investors of America purchased Tampa-based Bay Financial Savings Bank, which became Progress Bank of Florida earlier this year.Freedom Bank still needs to raise an additional $15 million from other investors to bring the deal to fruition and has issued a stock offering to raise between $20 million and $25 million.Entel PCS picks Syniversefor mobile roaming processEntel PCS, one of Chile's largest mobile phone operators, has selected products from Tampa-based Syniverse Technologies for its clearing, anti-fraud and roaming management system.In addition to selecting Syniverse's Data Clearing House for GSM and Financial Clearing House for GSM, the South American operator also has chosen Syniverse DataNet and Roaming Management Services.Syniverse DCH and FCH will work together to handle Entel PCS's data and financial clearing. DCH will serve as a single point of contact for the exchange of roaming billing records between Entel PCS and its roaming partners as subscribers move in and out of networks. FCH will manage Entel PCS's payable and receivable positions with these partners.RMS assists in the exchange of roaming-partner information, enabling mobile operators to perform queries, run reports and send alerts on essential roaming agreement data. Second, we can rely on a trusted provider of tightly integrated roaming solutions that enhance our subscribers' customer experience and increase revenue assurance."Syniverse Technologies provides mobile services products to communications companies.Entel PCS, part of Empresa Nacional de Telecomunicaciones S.A., the largest telecommunications company in Chile, provides mobile and Internet plus local and long-distance, fixed-line phone and other related services. Peoples Gas, Tampa Electricask for rate increasesTampa-based Peoples Gas System and Tampa Electric have filed requests for base rate increases with the Florida Public Service Commission. It has been about six and 16 years since People Gas System and Tampa Electric have filed for increases, respectively. Since its last base rate increase, Peoples Gas has added about 100,000 new customers and Tampa Electric has grown by 200,000.Peoples Gas System officials attributed the need for a rate hike to increased costs and the need to improve the company's natural gas distribution system. Since the last rate increase, the cost of steel piping has more than doubled and labor costs have increased 22%. Peoples Gas is requesting a base rate increase of $26.5 million, which translates to a roughly 10% increase to the average residential bill starting in the summer of 2009.Tampa Electric says the rate increase is needed due to the 70%-plus cost increase in labor, steel and concrete, related to building, maintaining and operating the electrical system, including power plants, transmission and distribution lines and customer-service facilities. Tampa Electric is requesting a base rate increase of $228.2 million, which would mean an increase of 7.5% to 11% for commercial/industrial customers.The fuel charge is handled separately by both companies as a pass-through cost and is not part of the rate increase requests. However, Tampa Electric notified the Florida Public Service Commission in July that it is estimating a need to recover an additional $209 million based on actual and projected fuel costs for this year.Both Tampa Electric and Peoples Gas System are owned by TECO Energy Inc.Sage Software Healthcarehires new COOThe Sage Group PLC announced that Tampa-based Sage Software Healthcare, one of Sage's four operating divisions in North America, has appointed Lindy Benton as chief operating officer.Benton spent the past 15 years in health care information technology at Cerner Corp. in a variety of roles in sales, marketing, operations, client development and, most recently, as vice president, general manager of Cerner's national business development group.She has been active in HIT industry groups and is a past president of Central Florida HIMSS. Before joining Cerner, Benton was with Digital Equipment Corp. for 11 years.Sage Software Healthcare Inc. provides integrated electronic health records, applications and physician-practice management systems.Army expands contract withGeneral Dynamics OrdnanceThe U.S. Army Field Support Command at Rock Island, Ill., awarded General Dynamics Ordnance and Tactical Systems, a St. Petersburg business unit of General Dynamics, an expansion of an existing demilitarization contract worth another $34.8 million. The latest award to demolish obsolete and excess ammunition brings the total contract value up to $151 million.General Dynamics Ordnance and Tactical Systems currently oversees the resource recovery and recycling of six types of obsolete U.S. Department of Defense ammunition. So far, the company has demilitarized more than 90,000 tons of munitions. "General Dynamics has a long history of performing ammunition demilitarization for the DoD," Dr. Dean Bartles, vice president and general manager of large caliber ammunition for General Dynamics Ordnance and Tactical Systems, said in a press release. "Under this contract, we manage the environmentally safe thermal treatment of excess and obsolete ammunition."Engineering and program management of the program will be conducted in St. Petersburg.Shells Seafood Restaurantsfiles for Chapter 11 Tampa-based Shells Seafood Restaurants Inc. filed for Chapter 11 bankruptcy reorganization in the U.S. Bankruptcy Court for the Middle District of Florida, Tampa Division. Shells owns 18 seafood restaurants and has a partial interest in two others, but has closed eight in Ocala, Winter Park, Orlando, Kissimmee, Winter Haven, St. Petersburg, Holmes Beach and Fort Myers. Four other Shells locations that were partially owned and managed by Rock Beach Grill restaurant are not included in the petition. The remaining ten restaurants owned by Shells are expected to continue operating without interruption."The restaurant industry has been negatively affected by the economic downturn, as recently reflected by the closings of Bennigan's and Steak and Ale restaurant chains," said CEO Marc Bernstein in a press release. "This downturn has affected some of the marginal stores operated by Shells and necessitated the Chapter 11 filings and store closings. The 10 remaining restaurants have the strongest historical performance or the greatest potential for the future. It is our goal to emerge as soon as we can with a capital structure and a balance sheet that will allow us to continue to operate."Shells says it is looking at a variety of post-petition financing options. Ethos Investigative Services buys Global Risk ServicesEthos Investigative Services Inc., a St. Petersburg-based risk mitigation company, has acquired Global Risk Services Inc., a Sarasota-based company that provides subrogation and field investigative services for self-insured companies and insurance carriers. Ethos Investigative Services will not maintain an office in Sarasota, but will be retaining Global Risk Services' field adjusters and subrogation specialists, most of whom already work out of their homes. "We're really gearing ourselves up to be a one-stop shop for risk mitigation," says Ed Cotilla, CEO of Ethos Investigative Services. "We started out mainly doing risk mitigation for workers compensation, but we've since gotten into pre-employment screening and background checks. We're trying to be a company that can handle all our clients risk mitigation needs rather than being pigeonholed into just one spot. [After this acquisition] we're planning to grow organically over the next several months."Chico's sales down, concludes deal with Phelps' motherFort Myers-based specialty clothing retailer Chico's FAS Inc. reported that net sales for the four-week period that ended Aug. 30 declined 2.2% to $116.2 million from the $118.8 million it reported for the four-week period that ended Sept. 1, 2007. Comparable store sales decreased 10% for the same four-week period this year versus 2007.For the thirty weeks that ended Aug. 30, net sales decreased 7.6% to $931 million from $1.008 billion reported for the 30-week period that ended Sept. 1, 2007. Comparable store sales declined 15.9% for the same period that ended Aug. 30, 2008.Also, Chico's signed Debbie Phelps, mother of 14-time Olympic gold medalist swimmer Michael Phelps, as an endorser. The company says that Ms. Phelps, principal of Windsor Mill Middle School in Baltimore, bought her entire Beijing wardrobe at the Chico's in Towson, Md. Chico's operates 1,077 women's specialty stores in 49 states, the District of Columbia, the U.S. Virgin Islands and Puerto Rico, under the Chico's, White House | Black Market and Soma Intimates names. WellCare Health Planshires its first COOTampa-based WellCare Health Plans Inc. reports that Rex Adams has joined the company as chief operating officer. In the newly created position, Adams reports directly to the president and CEO and is responsible for all of the company's operations, including claims payment, customer service and information systems.Before joining WellCare, Adams served as the president and CEO of AT&T East, a division of AT&T Inc. As one of five regional presidents, he was responsible for consumer and business sales and service as well as network operations for the Southern New England Telephone territory.Adams joined AT&T following its merger with BellSouth Corp. During his 12 years with BellSouth, he was president of both its long distance and wholesale services operations. Prior to that, Adams was a consultant at Monitor Co. Roper Industries buysGeorgia software makerSarasota-based Roper Industries Inc. acquired Duluth, Ga.-based Horizon Software International LLC, a software provider to the K-12 education, health care, senior, military and corporate markets.Horizon's products include OneSource software, industry-standard hardware and MealpayPlus for online payment processing. Its products also provide nutritional management, supply chain coordination and documentation for government reimbursement. Horizon will become part of Roper's RF Technology segment and will operate as a standalone business alongside the CBORD Group Inc., which Roper acquired last February. Horizon's K-12 and CBORD's higher education businesses are expected to allow Roper to better serve the entire education market. Horizon will continue to market its products and services with its current brand names."Horizon adds to our successful CBORD business and makes us the clear leader in technology that enables more efficient meal management processes within the educational community," Brian Jellison, Roper's chairman, president and CEO, said in a press release. Cason was previously vice president and COO at DeMorgan Communities and operations director at Honeywell Aerospace in Sarasota. Also, Charles Pope, Aerosonic's executive vice president, chief financial officer and secretary, announced plans to resign on Sept. 19. The company says that Pope's resignation is unrelated to his work performance and Aerosonic's financial reporting. Jeffery Hummel, Aerosonic's controller, will be interim chief financial officer until a successor is hired, the search for whom has already begun.WellSpring Pharmaceutical buys several McNeil drugs Bradenton-based manufacturer WellSpring Pharmaceutical Corp. purchased several popular over-the-counter drugs from the McNeil consumer healthcare division of McNeil PPC Inc. In an all-cash transaction, WellSpring obtained the U.S. rights to the antifungal Micatin, the anti-nausea Emetrol, and the antacid Gelusil. The company also acquired the Canadian rights to Micatin, Gelusil and the laxative Glycerin suppositories. The purchase price was not disclosed."With consumers taking more responsibility for their own health, this segment of the pharmaceutical market holds substantial promise for growth," Dr. Robert Vukovich, WellSpring's president and CEO, said in a press release. "Having marketed OTC products in Canada for many years, our experience in growing this pharmaceutical category should prove to be very beneficial. WellSpring expects to undertake an aggressive marketing effort to reinvigorate these products and expand their distribution."WellSpring Pharmaceutical Corp. focuses on the development, marketing and sales of new prescription and OTC drug products. Intertape Polymer Groupsigns deal with PellikoMontreal- and Bradenton-based Intertape Polymer Group Inc. reached an agreement with Pelliko Inc., a marketer of specialized packaging equipment, to acquire the exclusive North American rights for Pelliko's automatic wrapping system. The system automates the wrapping of packages of up to 60 feet in length in less than one minute. It is targeted to companies that work with wood products, which have traditionally been wrapped manually due to unique and varied sizes."We view this as a perfect complement to our existing products and services," Bill Barnes, executive vice president of sales and marketing of Intertape's engineered coated products division, said in a press release. In his new role, Mills will be responsible for all aspects of the staging and operations of the Worlds of Discovery Dubai parks - SeaWorld, Busch Gardens, Discovery Cove and Aquatica - in partnership with Nakheel PJSC, a Dubai World company and one of the world's largest and most innovative real estate developers."Donnie Mills has proved himself repeatedly in management roles across our system in a career that spans three decades," Busch Entertainment Corp.
